Dcypher Terms & Conditions

All services provided by Dcypher to the Client are subject to the following Terms & Conditions. These terms are applicable for all commissions and supersede all previous representations, understandings or agreements.

Design Services

Dcypher will always work with the Client in assessing your needs with regards to design content and layout, where this is unclear Dcypher reserve the right to use our judgement in the interpretation of the design in relation to the material that we receive from the Client.

Dcypher will suggest and work towards suitable time scales for project completion however we will not be held liable for missed deadlines where it is deemed out of our control.

Quotations

The price quoted to the Client is for the work agreed on the quotation only. Should the Client decide that subsequent amendments are required, the cost of any additional work will be added to the price quoted and this will appear on the final invoice.

All prices and quotations are subject to changes without notice. Quotations are valid for 30 days from the date that the quote was raised.

Proofing

We shall use our reasonable endeavours to make sure that the content designed by us is accurate according to your instruction, but it is your responsibility to check all content and to notify us of any errors so that we can correct them. A proof approval is required from the Client before final publication of the project can be completed. We will not be liable for any losses or problems arising from errors or omissions after approval as been given and any correction work will be chargeable at our standard rate.

Payment

All payment is in UK Sterling. Payment will be due within 14 days of invoice (unless otherwise agreed). Full publication of the project may take place only after full payment has been received. Any material previously published may be removed if payment is not received.

Additional design work will be chargeable at our standard hourly rate (unless an annual maintenance contract as been agreed).

Cancellation

In the event of cancellation of the project, ownership of all copyrights shall be returned and retained by Dcypher and a fee for work completed, based on the contract price and expenses already incurred, shall be paid by the Client.

Permission and Copyright

The Client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks or any other supplied material. The placement of an order shall be regarded as a guarantee by the Client to Dcypher that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

Website Design

All websites will be designed and optimised for Internet Explorer 6. Best practice will be employed at all times to attain maximum cross-browser compatibility however this cannot be guaranteed, nor can the compatibility of the website with subsequent versions of Internet Explorer or any other browser.

Dcypher will endeavour to ensure that any website or application will function correctly on the server it is initially installed in. Dcypher can offer no guarantees of correct function with alternative hosting.

Dcypher will register the Clients website with a number of leading search engines upon ‘go-live’. However inclusion and ranking positions cannot be guaranteed and shall not form part of the contract. If desired, a separate contract may be established for the purposes of website promotion.

Website Hosting

Orders for hosting services provided by Dcypher are subject to separate terms and conditions available on request.

If alternative hosting is taken then no guarantees can be made as to the availability or interruption of this service. Dcypher cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service.

Domain Names

Dcypher may purchase domain names on behalf of the Client. Payment and renewal of those domain names is the responsibility of the Client. The loss, cancellation or otherwise of the domain brought about by non or late payment is not the responsibility of Dcypher.

The registration and use of your domain name is subject to the terms and conditions of use applied by the relevant naming authority; you shall ensure that you are aware of those terms and conditions and that you comply with them. You shall have no right to bring any claim against Dcypher in respect of refusal by the naming authority to register your desired domain name.

Dcypher reserves the right to withhold or prevent the release of domain name(s) should the client default on their account. All services remain under the control of Dcypher until the account is paid in full.

Data Protection

Dcypher shall comply with the provisions of the Data Protection Act, governing the use, storage and transmission of personal data. We shall not permit anything which might cause or otherwise result in a breach of the Data Protection Act.

Acceptance of Terms & Conditions

The placement of an order with Dcypher will be regarded as an acceptance of all the above Terms & Conditions.
